There is no doubt that the journey into franchising can be a very exciting and rewarding experience but the legal documentation can also be quite daunting for any prospective franchisee. For many franchisees, a Franchise Agreement will be the most important document that they enter into in their lives. It forms the basis of the relationship between the franchisor and franchisee and sets out each party’s rights and obligations for the term of the agreement and beyond. Franchisors must also provide their Disclosure Document designed to give the franchisee all the information they need in order to make an informed decision prior to joining the network. The Franchising Code of Conduct requires the franchisor to provide specific information in relation to the operation of, and all costs associated with, the business and disclosure of any material relevant information pertaining to the franchisor and its officers. It must also provide a list of other franchisees in the network, details of any litigation against the franchisor, and information relating to the Intellectual Property.
